Neither party may, without the prior written consent of the other party (such consent may not be inappropriately withheld or delayed), assign, transfer, incriminate or otherwise treat all or part of its rights or obligations under this Agreement, PROVIDED that HMA subcontracts the performance of its obligations under this Agreement. 12.1.3 Any representation, misrepresentation (whether innocent or negligent), statement or act or omission (including negligence) resulting from or in connection with this Agreement. 2.3 The Customer agrees that he will only use the Support and Accommodation Services from time to time in accordance with the provisions of this Agreement and the appropriate instructions of HMA. 1.2. Services. TLF provides you with different services through the platform. Additional terms may apply to each service, as set forth in the specific terms of use of the service. TLF may add new services and modify, restrict or discontinue existing services from time to time and at TLF`s sole discretion. Use of certain services may require visiting or using certain third-party services subject to the third parties` own terms of use. For the avoidance of doubt, the Services do not include and this Agreement does not apply to third-party software code hosting sites linked to the Platform or referenced from the Platform whose use is subject to separate agreements with third parties; or (b) licensing open source software for projects the use of which is governed by the license(s) applicable to such software. In addition, this Agreement does not affect any rights granted under open source licenses for software that includes services published in open source. 13.6.2 HMA cooperates with the Customer and/or its replacement provider for a period of three months from receipt of a notice of termination from one of the parties (“Delivery Period”) and provides the transitional assistance that the Customer reasonably needs to facilitate the migration of the Site with an application developed or hosted in accordance with this Agreement, as well as all contents and services of HMA and (if this is part of the HMA data) and power) the owner of a third-party website to the customer and/or its replacement suppliers. The management of this transitional assistance is the responsibility of the customer and any HMA assistance is provided by HMA and paid for by the customer at a rate to be agreed between the parties….
